Referral Program

This document includes a summary of the terms (“Terms”) of the Streamline Referral Program (“Referral Program”) and describes how we will work together and other aspects of our business relationship. These Terms govern the referral of all products and services from Streamline, its parent, and related companies, collectively referred to as “Streamline”. These Terms may be periodically updated or replaced.

GENERAL PROGRAM TERMS

1. A Streamline Associate (“Associate”) may: (a) refer potential customers (“Referrals”) to Streamline and may earn a Referral Fee.

2. An Associate may submit a Referral to Associate’s point of contact at Streamline by providing the name of the entity, contact information, and website. (The date Streamline receives such submission shall be deemed the “Original Referral Date”). All Referrals will be validated by Streamline. Streamline may either accept or decline any Referral submitted by An Associate, which will then become a “Qualified Referral.” A Referral may be rejected if the Referral is currently being solicited by Streamline, an existing Streamline customer, or an existing lead in the Streamline CRM that came from a paid lead source.

3. In order to participate in the Streamline Referral Program, a Streamline Associate must accept and agree to these Streamline Referral Program Terms, which govern the Streamline Associate’s behavior under the Referral Program.

4. All Streamline referral pricing of the Streamline Products is subject to change at Streamline’s sole discretion.

5. Associates agree to treat all proprietary and non-public Streamline information as confidential.

6. Associates agree to always discuss and promote Streamline in the best possible manner.

7. Portions or the entirety of these Terms may be overridden by a unique written contract between an individual Associate and Streamline.

REFERRAL FEE TERMS

1. Subject to the terms and conditions of this Referral Program, for each Qualified Referral that purchases a Streamline Product pursuant to Streamline’s applicable Terms of Service, or other written customer agreement (“Contract”), Streamline shall pay a referral fee (“Referral Fee”) 10% of Net Revenue.

2. Any Referral Fee is based on Net Revenue actually received by Streamline pursuant to a Contract signed by a Referral within six (6) months of the Original Referral Date.

3. “Net Revenue” shall mean the base subscription fee and the recurring cost of subscription add-ons for a Streamline Product and for the avoidance of doubt, does not include: (i) non-recurring fees, set-up or implementation fees, pre-production fees, training fees, consulting or professional services fees, telecommunications services fees, shipping fees or delivery fees, (ii) any fees derived from Referral conversion or special one-time reports, (iii) any sales, service, or excise taxes, (iv) any third-party pass-through charges, (v) any deductions for credits, refunds or write-offs, and (vi) any fees for products or services other than the recurring base subscription and recurring add-ons.

4. An Associate Referral Fee will be earned only following: (1) receipt of a valid Qualified Referral; and (2) receipt of a current customer payment from the Qualified Referral. An Associate Referral Fee will not be earned for customers who have not made complete payments to Streamline.

5.If a customer who was a Qualified Referral cancels their subscription, no further Referral Fee will be earned.

6. Streamline, at its sole discretion, may grant or revoke Referral Fee on An Associate referral.

7. If two or more Associates submit the same Referral, a Referral Fee may only be earned by the Associate that materially secures the relationship with the end customer. Proof of services may be required if there is a dispute. Streamline, at its sole discretion, will determine which Associate receives Referral Fee.

8. If a Referral is not received from An Associate to Streamline prior to becoming a customer, no Referral Fee may be earned.

9. Associates may opt out of eligibility to earn Referral Fees if they so choose.

10. If a Qualified Referral becomes a Streamline Associate, the original referring Associate may only earn a Referral Fee if the Qualified Referral Associate purchases Streamline for its own use. For sake of clarity, the original referring Associate may not earn any Referral Fees on any Referrals that originate from the Qualified Referral Associate they referred.

SUSPENSION TERMS

An Associate’s eligibility to earn Referral Fees may be suspended if An Associate has not referred a new customer in the trailing 12-month period. Eligibility to earn a Referral Fee may be restored if the Associate refers a new customer. Upon restoration of eligibility, Associate will again be eligible to earn a Referral Fee for all Qualified Referrals, and Streamline may, in its sole and exclusive discretion, provide a retroactive Referral Fee payment for any Referral Fees that would have otherwise been earned during the period of time that eligibility was suspended.

PAYMENT TERMS

1. Any earned Referral Fees will be paid to Associates on a monthly basis provided that the Referral Fee balance due to a given Associate exceeds $200.00 for the preceding month(s).

2. In order to receive payments Partners must submit a valid W-9 to Streamline.

LEGAL STUFF

1. All products, services, content, and Associateship-related activities provided by Streamline to Associates are provided AS IS, WITHOUT WARRANTY OF ANY KIND EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE.

2. Streamline, in its sole discretion, may terminate An Associate’s participation in the Referral Program at any time upon written notice to the Associate.
